Welcome to Kutta.AI. These Terms of Service ("Terms") govern your access to and use of the Kutta.AI platform, website, and all related services (collectively, the "Service"), operated by Kutta.AI ("we," "our," or "us").

By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

1. Description of Service

Kutta.AI is a browser-based data visualization and analytics platform that enables users to upload datasets, create interactive dashboards and charts using WebGL-powered rendering, and analyze data through AI-driven natural language queries. The Service is delivered entirely through your web browser and requires no local installation.

2. Account Registration

To use the Service, you must create an account through our authentication provider. You agree to provide accurate, current, and complete information during registration and to keep your account information up to date. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately at contact@kutta.ai if you suspect any unauthorized use of your account.

3. Subscription Plans and Billing

3.1 Plans

The Service is offered under multiple subscription tiers, including a free tier with limited features and storage, and paid tiers with expanded capabilities. Current plan details and pricing are available on our Product page. We reserve the right to modify plan features and pricing with reasonable advance notice.

3.2 Billing

Paid subscriptions are billed on a recurring monthly basis through Stripe. By subscribing to a paid plan, you authorize us to charge the payment method on file at the beginning of each billing cycle. All fees are non-refundable except as expressly stated in these Terms or as required by applicable law.

3.3 Cancellation

You may cancel your paid subscription at any time through your account settings. Upon cancellation, you will retain access to paid features through the end of your current billing period. After that, your account will revert to the free tier. No refunds will be issued for partial billing periods.

3.4 Free Trial

We may offer free trials of paid features at our discretion. At the end of a free trial, you will be charged the applicable subscription fee unless you cancel before the trial period ends.

4. Your Data

4.1 Ownership

You retain all ownership rights to the data you upload to the Service ("Your Data"). We claim no ownership over Your Data. By uploading data to the Service, you grant us a limited, non-exclusive, worldwide license to process, store, display, and transmit Your Data solely as necessary to provide and improve the Service.

4.2 Responsibility

You are solely responsible for the content, quality, and legality of Your Data. You represent and warrant that you have all necessary rights and permissions to upload and process Your Data through the Service, and that Your Data does not violate any applicable laws, regulations, or third-party rights (including intellectual property and privacy rights).

4.3 Data Processing

Your Data is processed to render visualizations, generate dashboards, and power AI-driven analytics features. When you use the natural language query feature, your questions and corresponding data subsets are processed by our AI systems to generate responses. We do not use Your Data to train our AI models or for any purpose unrelated to providing the Service to you.

4.4 Data Limits

Each subscription tier has specified limits on data upload size, number of dashboards, and other usage parameters. If you exceed these limits, you may need to upgrade your plan or remove excess data. We reserve the right to enforce these limits at any time.

5. Acceptable Use

You agree not to use the Service to:

• Upload, store, or process data that is unlawful, harmful, threatening, abusive, defamatory, or otherwise objectionable
• Upload data that contains personally identifiable information of individuals without their consent, where required by law
• Violate any applicable local, state, national, or international law or regulation
• Infringe upon the intellectual property rights, privacy rights, or other rights of any third party
• Attempt to reverse engineer, decompile, disassemble, or otherwise derive the source code of the Service
• Interfere with or disrupt the Service, servers, or networks connected to the Service
• Attempt to gain unauthorized access to any portion of the Service or any other systems or networks
• Use automated scripts, bots, or other means to access the Service in a manner that exceeds reasonable use
• Abuse the AI query feature by submitting queries designed to extract proprietary information about the Service's underlying systems or models
• Resell, sublicense, or redistribute the Service without our prior written consent

We reserve the right to investigate and take appropriate action against anyone who violates these provisions, including suspending or terminating their account and reporting them to law enforcement authorities.

6. Intellectual Property

The Service, including its design, user interface, graphics, code, AI models, algorithms, and all associated intellectual property, is owned by Kutta.AI and is protected by copyright, trademark, and other intellectual property laws. These Terms do not grant you any right, title, or interest in the Service except for the limited right to use it in accordance with these Terms. The Kutta.AI name, logo, and all related trademarks are the property of Kutta.AI.

7. Shared Dashboards

The Service allows you to share dashboards with other users. When you share a dashboard, the recipients will be able to view the visualizations and data contained within it according to the permissions you set. You are responsible for ensuring that you have the right to share any data contained in dashboards you make accessible to others. We are not responsible for how recipients use data from shared dashboards.

8. Service Availability and Modifications

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice. We will make commercially reasonable efforts to notify users of significant changes in advance.

9. Disclaimer of Warranties

The Service is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, and accuracy. We do not warrant that the Service will be uninterrupted, secure, or error-free, or that any AI-generated analyses, insights, or query responses will be accurate, complete, or suitable for any particular purpose. You use the Service and rely on any AI-generated output at your own risk.

10. Limitation of Liability

To the maximum extent permitted by applicable law, Kutta.AI and its officers, directors, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, resulting from (a) your access to or use of, or inability to access or use, the Service; (b) any errors, inaccuracies, or omissions in AI-generated content or analytics; (c) unauthorized access to or alteration of your data; or (d) any other matter relating to the Service. In no event shall our total liability exceed the amount you have paid us in the twelve (12) months preceding the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless Kutta.AI and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with your access to or use of the Service, your violation of these Terms, or your violation of any third-party rights (including intellectual property or privacy rights) through Your Data.

12. Termination

We may suspend or terminate your account and access to the Service at any time, with or without cause, and with or without notice. Reasons for termination may include, but are not limited to, violation of these Terms, fraudulent or illegal activity, extended periods of inactivity, or failure to pay applicable fees. Upon termination, your right to use the Service ceases immediately. We may, but are not obligated to, provide you an opportunity to retrieve Your Data before deletion. Sections of these Terms that by their nature should survive termination (including ownership, warranty disclaimers, indemnification, and limitations of liability) will survive.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles. Any disputes arising out of or relating to these Terms or the Service shall first be resolved through good-faith negotiation. If negotiation fails, disputes shall be submitted to binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in Delaware. You agree that any dispute resolution proceedings will be conducted on an individual basis and not in a class, consolidated, or representative action.

14. General Provisions

14.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Kutta.AI regarding the Service and supersede all prior agreements and understandings.

14.2 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that the remaining provisions remain in full force and effect.

14.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

14.4 Assignment

You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign our rights and obligations under these Terms without restriction.

15. Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. For significant changes, we may also send you a notification via email or through the Service. Your continued use of the Service after any changes constitutes your acceptance of the updated Terms. If you do not agree with the modified Terms, you must discontinue use of the Service.
